Production, Supply and Confidentiality Framework Agreement

Parties

Supplier: SMT Global Mühendislik İthalat İhracat Sanayi Ticaret A.Ş. (the "Company"). Customer: the user who creates an account, requests a quote, or places an order through the Company's website or order tracking system.

Subject and scope

This agreement covers the confidentiality of the design files submitted by the Customer (Gerber, schematic, BOM, Pick & Place) and the parties' rights and obligations in the PCB sourcing, PCBA (assembly) and component sourcing processes.

Confidentiality

All schematics, designs and technical files submitted by the Customer are treated as confidential and used solely for pricing, manufacturability assessment and production.

For PCB fabrication, Gerber files are shared, to the extent necessary, with our production partner JLCPCB; this is not considered a breach of confidentiality. PCBA assembly is carried out on the Company's own line, so no files are shared with a third party at that stage.

Use of equivalent components

Where a component becomes unavailable due to global supply chain issues, the Customer's approval is obtained before using an equivalent (cross-reference) component proposed by the Company. Once approved, the Customer will work with the Company in good faith on any dispute arising from the use of that equivalent component.

Lead time varies by order and is stated as an estimate in the quote or proforma invoice; see the Distance Sales Agreement.

Force majeure

See the Distance Sales Agreement for the international force majeure events affecting the PCB sourcing process and the extraordinary circumstances affecting the Company's own production line.

Intellectual property and non-infringement warranty

The Customer warrants that any design, software or hardware it submits or requests to have manufactured does not infringe the patent, utility model, copyright or trademark rights of any third party. Full legal responsibility for any such infringement rests with the Customer.

Electronic approval and effective date

This framework agreement takes effect, with the same legal force as a wet-signed contract, at the moment the Customer ticks the relevant approval checkbox electronically.
